About Sumitomo Chemical India
Incorporated on February 15, 2000, as a private company, Sumitomo Chemical India Limited (SCIL) became a public company on November 24, 2018. Sumitomo Chemical Company Limited of Japan owns SCIL. The National Stock Exchange and the Bombay Stock Exchange include listings for the company's stock. Insecticides, pesticides, public-health insecticides, and animal nutrition products are what the firm focuses on producing for the most part.
The Company's Board of Directors adopted a Scheme of Amalgamation (Scheme) with Excel Crop Care Limited, a wholly owned subsidiary of Sumitomo Chemical Company Limited Japan, the Company's Holding Company, on August 1, 2018. April 1, 2018, is the "Appointed Date" for the Scheme. The Scheme was adopted by the Company's shareholders at a meeting convened on March 30, 2019, in response to an order from the Hon'ble National Company Law Tribunal (Hon'ble NCLT). The Hon'ble NCLT issued an order (Order) approving the Scheme on June 27, 2019.
The 'Effective Date of the Scheme is August 31, 2019, on which the Registrar of Companies received a certified copy of the Order. Under the provisions of the Scheme, the Company canceled 2199448 of the 19.98% of Excel Crop Care Limited's share capital that it owned.
Existing shareholders of Excel Crop Care Limited who owned shares as of August 31, 2019 (the "Record Date") were issued the following number of shares of the Company on October 7, 2019: For every two fully paid shares of Excel Crop Care Limited common stock, the Company will issue 51 fully paid up equity shares with a value of Rs 10. In turn, Excel Crop Care Limited's other shareholders were given 224,556,741 shares of the Company's stock, each of which was valued at Rs 10. Excel Crop Care Limited's subsidiaries, Excel Crop Care (Africa) Limited Tanzania and Excel Crop Care (Europe), NV Belgium, have become the Company's subsidiaries due to the Scheme of Amalgamation.
As of January 27, 2020, all of the Company's issued shares are traded on BSE Limited and the National Stock Exchange of India Limited. As of March 31, 2020, after the issuance of these shares, Sumitomo Chemical Company Limited Japan, the Holding Company, and its Japan-based subsidiary owned 80.3% of the Company, down from 100% before.
The Holding Company lowered its stake in the Company from 79.7% to 78.3% in June 2020 by selling 9982914 shares in an "offer for sale" via the stock markets. Within one year after Listing, the Promoters must decrease their stake in the Company to 75% or less. Due to SEBI regulations, the Promoters can only sell the 55.01 percent of the company's shares they own once one or three years have passed from the listing date.
Excel Crop Care Limited failed to file a Return of Allotment with the Registrar of Companies by the Companies Act 2013 in regards to 224557641 shares of Rs 10 each fully paid up allotted to the shareholders of the company. With reference to its Letter Ref: SCIL/ SEC/ 2022 dated 26th November, 2022, whereby the company had intimated that, at the hearing held on 23rd November, 2022, before the Hon'ble Delhi High Court (‘Hon'ble Court’) in the petitions challenging the Central Government Notification mandating use of Glyphosate only through Pest Control Operators, the Additional Solicitor General had submitted that the said Notification will not be implemented for a period of three months. Sumitomo Chemical India has informed that, at the subsequent hearing held in the matter on 7th March, 2023, the Counsel of the Central Government has stated before the Hon'ble Court that the undertaking given by the Additional Solicitor General on 23rd November, 2023, shall be continued for further four months. The Hon'ble Delhi High Court has determined 19th July, 2023 as the next date of hearing in the matter.
