Total consolidated income of the company increased by 28.19% to Rs 374.68 crore for Q3FY23

Happiest Minds Technologies has reported results for third quarter ended December 31, 2022.

The company has reported rise of 27.89% in its net profit at Rs 57.27 crore for Q3FY23 as compared to Rs 44.78 crore for the corresponding quarter previous year. Total income of the company increased by 28.66% to Rs 352.94 crore for the quarter under review as compared to Rs 274.31 crore for the same quarter in the previous year.

On the consolidated basis, the company has reported rise of 17.70% in its net profit at Rs 57.58 crore for Q3FY23 as compared to Rs 48.92 crore for the same quarter in the previous year. Total income of the company increased by 28.19% to Rs 374.68 crore for the quarter under review as compared to Rs 292.28 crore for the same quarter in the previous year.

SMI has an annual run rate in revenues of circa $9 million

Happiest Minds Technologies has inked definitive agreements to acquire 100% of Sri Mookambika Infosolutions (SMI) - a Madurai headquartered, profitable, IT services company through a combination of upfront and deferred equity consideration totaling Rs 111 crore. With more than 400 offshore-based employees, SMI has an annual run rate in revenues of circa $9 million. The objective of the acquisition is to strengthen Happiest Minds’ offerings and leadership in the healthcare vertical with delivery capabilities in tier-2 locations like Madurai and Coimbatore.

The acquisition is effective January 1, 2023, definitive agreements signed on January 25, 2023 with conditions subsequent to closing to be completed before end of February 2023.

SMI provides product engineering services to its US customers around Enterprise Applications & Integrations, digital data platform services (Analytics, Data Strategy, AI / ML, User Experience), Mobility Services and DevSecOps. The Board of Directors of the company at its meeting held on March 02, 2023 has considered and approved the same

Happiest Minds Technologies has received an approval for the issue and allotment of up to 12500 unsecured, negotiable, redeemable, rated, listed, non-convertible debentures (NCDs) aggregating to Rs 125 crore on private placement basis in domestic market in three tranches for raising funds to be utilized towards the general corporate purposes of the company. The Board of Directors of the company at its meeting held on March 02, 2023 has considered and approved the same.

The issue of commercial papers in domestic market on private placement basis has been deferred for consideration at an appropriate time.
